(1) THAILAND PROPERTY DOT NET,. Registered in Thailand with a representative office at address Office number 324, Soi inthamara 47, Din Daeng, Din Daeng, Bangkok, 10400.(hereinafter referred to as “TP”)

(A) Thailand Property Dot Net is an online portal connecting buyers with agents and is involved in the marketing of real estate developments in Thailand. Thailand Property Dot Net intends to market the sale of the properties within these property developments by working with real estate agents all across Thailand.
(B) (referred to throughout this agreement as has marketing and sales skills beneficial to Thailand Property Dot Net in securing sales on developments in Thailand, through their network of contacts.
1. Appointment of
1.1 TP appoints the with effect from the date of this agreement to be an agent for the promotion and marketing of developments in Thailand, through their network of contacts.
2.1 This agreement shall be for an initial term of 12 months and continue thereafter until
termination by either party giving prior written notice of not less than three months to expire on or after the expiry date of the initial term.
3. Duties of TP
3.1 TP shall act in good faith towards .
3.2 TP will not provide the with the marketing material and other items it considers necessary for to be able to sell these properties.
3.3 TP shall inform immediately in the event of problems with the supply and completion of properties, price alterations or any major alterations of terms of business by TP.
3.4 TP is an online portal which connects potential buyers to agents. TP will not be responsible for taking prospects to view properties. It is therefore responsibility to take all prospects to view properties.
4. Rights and duties of
4.1 shall use their best endeavours to promote the sale of properties and shall not do anything which may prevent such sales or interfere with TP’s sale of developments in Thailand, or its promotion by TP and shall not do anything which may adversely affect the reputation of Thailand Property Dot Net.
4.2 TP shall provide with a statement of the prices at which properties are to be sold (such statement to be updated when any prices are changed).
5.1 TP will only accept a flat commission rate of 30% on successful purchase of all properties with all real estate agents looking to advertise their property on //www.thailand-property.net.
5.1.1 The commissions detailed in Appendix 1 are subject to a withholding tax of up to 7% (depending upon the trading terms of each developer represented by TP.
5.2 Unless otherwise specified, full commission is payable within a period of 14 days from the time when the relevant developer is in receipt of the first stage deposit funds specified in the Purchase Contract and are in receipt of the Purchase Contract duly signed by the customer and being in receipt of a correct invoice from TKC for the commission due.
6. This agreement shall be governed by Thai Law and the parties hereby submit to the exclusive jurisdiction of courts within Thailand.
